These Terms and Conditions apply to all estimates, quotes, invoices, order forms, purchase orders, online forms, design approvals, deposits, sales, fabrication, delivery, installation, consulting, design work, signage work, website work, branding work, and related services provided by Formify Labs Inc. and/or Formify Labs.

These Terms are intended to form part of every transaction between Formify Labs and the client.

 

1. Acceptance of Terms

By approving an estimate, accepting a quote, signing an order form, submitting an online form, paying a deposit, paying an invoice, approving a design proof, approving a mockup, approving a rendering, providing written or digital approval, issuing a purchase order, authorizing work to begin, accepting delivery, or allowing installation to proceed, the client agrees to be bound by these Terms and Conditions.

Approval may be provided by signature, email, text message, WhatsApp, CRM message, website form, payment, verbal authorization later confirmed by conduct, or any other written or digital communication.

These Terms apply together with the applicable estimate, invoice, quote, proposal, work order, design proof, written scope, or approved specifications.

If there is a conflict between these Terms and a project-specific written agreement signed by Formify Labs, the project-specific agreement applies only to the conflicting part.

No employee, sales representative, installer, contractor, designer, or subcontractor may change these Terms unless the change is confirmed in writing by an authorized representative of Formify Labs.

 

2. Definitions

“Formify Labs,” “we,” “us,” or “our” means Formify Labs Inc., Formify Labs, and where applicable, its employees, contractors, installers, subcontractors, suppliers, representatives, affiliates, and agents.

“Client,” “you,” or “your” means the individual, business, organization, property owner, tenant, manager, representative, agent, or other party requesting or receiving goods or services.

“Work” means all design, consultation, quoting, measurement, artwork preparation, 3D modelling, vectorization, fabrication, printing, 3D printing, laser cutting, CNC cutting, assembly, painting, finishing, electrical coordination, delivery, installation, removal, repair, maintenance, website work, branding work, or related services.

“Custom Work” means any product or service made, ordered, modified, designed, fabricated, printed, cut, painted, assembled, programmed, sourced, personalized, or installed specifically for a client.

“Proof” means any design proof, mockup, rendering, drawing, specification sheet, measurement sheet, sign layout, colour sample, material sample, digital preview, written specification, or approval image provided before production.

“Site” means the property, wall, storefront, window, door, vehicle, fixture, room, building, ceiling, fascia, sign band, bulkhead, installation area, or other location where work is measured, delivered, installed, assessed, removed, or performed.

 

3. Scope of Work

The scope of work is limited to what is specifically written in the estimate, invoice, quote, proposal, order form, approved proof, or written project description.

Unless expressly included in writing, the following are excluded:

1. permits, permit drawings, permit applications, sign variances, municipal fees, landlord approvals, franchise approvals, engineering, architectural review, structural review, ESA notifications, electrical permits, electrical inspections, utility locates, and legal compliance reviews;
2. electrical wiring, hardwiring, dedicated circuits, junction boxes, wall penetrations, timers, switches, dimmers, transformers outside the product scope, troubleshooting of building electrical systems, or work requiring a Licensed Electrical Contractor;
3. structural reinforcement, wall repair, paint repair, drywall repair, masonry repair, patching, sanding, priming, repainting, cleaning, refinishing, or surface restoration;
4. removal or disposal of existing signs, vinyl, adhesive, screws, anchors, silicone, epoxy, electrical parts, raceways, lightboxes, or structures;
5. lift rental, scaffold rental, boom truck rental, special access equipment, traffic control, parking, security escorts, mall access fees, after-hours labour, union-site requirements, or special safety requirements;
6. additional site visits, failed visits, waiting time, remeasurement, reinstallation, remobilization, storage, delivery, shipping, packaging upgrades, courier insurance, or rush handling;
7. repair or replacement caused by client handling, third-party work, vandalism, weather, wall failure, surface failure, electrical issues, improper maintenance, unauthorized modification, or product misuse.

Anything not specifically included is excluded.

 

4. Quotes, Estimates, and Price Validity

Unless stated otherwise in writing, estimates and quotes are valid for 14 calendar days from the date issued.

After 14 calendar days, Formify Labs may revise pricing due to changes in material costs, supplier costs, labour costs, machine availability, rush requirements, fuel, shipping, taxes, tariffs, permit requirements, site requirements, or other business conditions.

A quote or estimate is based only on the information available to Formify Labs at the time it is prepared.

Pricing may change if:

1. the client changes the size, material, colour, finish, lighting, mounting method, quantity, artwork, deadline, location, installation method, or scope;
2. the client provides inaccurate measurements or incomplete information;
3. site conditions are different than expected;
4. permit, landlord, structural, electrical, access, safety, or municipal requirements are discovered;
5. additional design, revisions, prototypes, samples, materials, labour, trips, subcontractors, shipping, or equipment are required;
6. client delays affect scheduling, pricing, or production availability.

For consumer agreements where applicable law limits increases above an estimate, Formify Labs will seek client approval before proceeding with additional or different goods or services that materially change the price.

For business, commercial, wholesale, corporate, franchise, landlord, contractor, or non-consumer projects, additional work outside the original scope is chargeable unless prohibited by law.

 

5. Deposit Policy

Unless stated otherwise in writing, a deposit is required before Formify Labs begins design work, file preparation, material ordering, production scheduling, fabrication, delivery coordination, subcontractor coordination, or installation scheduling.

The standard deposit is 50% of the total project amount, unless otherwise stated in writing.

Formify Labs may require full payment upfront for:

1. small orders;
2. rush orders;
3. custom signs;
4. wedding or event work;
5. special-order materials;
6. online orders;
7. client-installed products;
8. high-risk or time-sensitive work;
9. design-only work;
10. work for new clients;
11. work involving third-party suppliers or subcontractors.

Deposits are used to reserve production time, purchase materials, pay designers, prepare files, coordinate labour, schedule installers, coordinate subcontractors, and begin custom work.

Deposits are non-refundable once design work, file preparation, material ordering, custom procurement, production scheduling, fabrication, subcontractor booking, or other project work has begun, except where required by law.

 

6. Payment Terms

Unless stated otherwise in writing, the final balance is due upon project completion and before pickup, delivery, shipping, release, installation, transfer, or handoff of finished goods.

Formify Labs may refuse to release, deliver, ship, install, transfer, or provide final files until payment has cleared.

Accepted payment methods may include e-transfer, credit card, debit, cash, cheque, wire transfer, online payment, or other methods approved by Formify Labs.

Payments by cheque, bank transfer, or other non-instant methods are not considered complete until cleared.

The client is responsible for all taxes, processing fees, bank fees, chargeback fees, NSF fees, collection fees, and other payment-related costs where permitted by law.

 

7. Late Payment, Non-Payment, and Collections

Late balances may result in work being paused, delayed, cancelled, withheld, or rescheduled.

Unpaid balances may be subject to late fees, interest, administrative fees, storage fees, collection fees, legal fees, and enforcement costs to the maximum extent permitted by law.

If a client fails to pay, Formify Labs may pursue any available legal remedy, including collection proceedings, small claims proceedings, recovery of goods where lawful, and any applicable lien or construction remedy where available.

The client remains responsible for all approved work, completed work, partially completed work, ordered materials, design work, subcontractor costs, labour, administrative time, storage, and collection expenses.

 

8. Chargebacks and Payment Reversals

The client agrees not to initiate a credit card chargeback, payment reversal, NSF reversal, or payment dispute for approved, completed, partially completed, custom, delivered, installed, or accepted work without first giving Formify Labs written notice of the issue and a reasonable opportunity to respond.

If a chargeback or payment reversal is initiated, Formify Labs may suspend all active and future work until the dispute is resolved.

The client remains responsible for all undisputed amounts, approved work, completed work, materials, labour, subcontractor costs, chargeback fees, administrative costs, collection costs, and legal costs where permitted by law.

Nothing in this section limits any non-waivable legal right of a consumer.

 

9. Taxes

All prices are subject to applicable taxes unless expressly stated otherwise.

Taxes may be added to estimates, quotes, invoices, online checkout pages, deposits, final invoices, change orders, delivery charges, installation charges, and rush charges.

 

10. Ownership Until Paid in Full

All goods, products, signs, components, materials, designs, files, and deliverables remain the property of Formify Labs until all amounts owed for the project have been paid in full and cleared.

Formify Labs may withhold possession, delivery, installation, digital files, source files, production files, permit drawings, or other deliverables until payment is complete.

For installed goods that remain unpaid, Formify Labs reserves all rights available at law. Any removal, repossession, lien, or enforcement action will be subject to applicable law and site access requirements.

 

11. Client Responsibilities

The client is responsible for providing accurate, complete, and timely information, including:

1. business name;
2. legal name;
3. spelling;
4. logos;
5. colours;
6. phone numbers;
7. addresses;
8. QR codes;
9. website links;
10. social media handles;
11. brand guidelines;
12. regulatory text;
13. measurements;
14. site photos;
15. site access details;
16. landlord requirements;
17. franchise requirements;
18. municipal requirements;
19. installation restrictions;
20. safety concerns;
21. environmental exposure information;
22. intended indoor or outdoor use;
23. deadline requirements.

The client is responsible for reviewing all proofs carefully before approval.

The client is responsible for obtaining all approvals required from owners, landlords, property managers, municipalities, condo boards, franchise head offices, mall management, tenants, regulators, or other controlling parties unless Formify Labs expressly agrees in writing to handle that responsibility.

 

12. Design Proofs and Approvals

The client must carefully review all proofs, mockups, drawings, renders, previews, dimensions, materials, colours, layouts, and specifications before approval.

The client is responsible for checking:

1. spelling;
2. grammar;
3. business name;
4. logo;
5. colours;
6. sizing;
7. quantity;
8. materials;
9. finish;
10. phone numbers;
11. website links;
12. addresses;
13. QR codes;
14. social media handles;
15. regulatory text;
16. layout;
17. orientation;
18. installation location;
19. mounting method;
20. lighting direction;
21. visible details.

Once the client approves a proof, Formify Labs may proceed to production.

Formify Labs is not responsible for errors approved by the client, including spelling errors, wrong colours, incorrect logos, bad QR codes, outdated phone numbers, wrong addresses, wrong URLs, layout issues, missing details, sizing choices, or incorrect content.

Digital mockups are approximate. They may not perfectly represent physical size, colour, texture, lighting, shadows, depth, material finish, wall appearance, installation conditions, or final site appearance.

Changes after approval may require additional payment and may delay the project.

 

13. Revisions

Unless stated otherwise in writing, quotes include up to two reasonable design revision rounds before production.

Additional revisions may be charged separately.

A revision means a reasonable adjustment to an existing design direction. It does not include a completely new concept, new logo, new sign type, new material, new size, new layout, new installation method, new product, new 3D model, or major redesign.

Additional fees may apply for:

1. major redesigns;
2. new concepts;
3. file rebuilding;
4. logo tracing;
5. vectorization;
6. 3D modelling;
7. engineering changes;
8. resizing;
9. copy changes;
10. colour changes;
11. layout changes;
12. revisions after approval;
13. revisions after production has started.

 

14. Artwork, Logos, Fonts, and Intellectual Property Supplied by Client

The client represents that it owns or has permission to use all logos, trademarks, images, graphics, photos, artwork, fonts, slogans, names, characters, icons, brand assets, files, and other content supplied to Formify Labs.

The client is responsible for any copyright, trademark, licensing, privacy, publicity, or intellectual property issue arising from client-supplied materials or instructions.

The client agrees to indemnify and hold Formify Labs harmless from any claim, demand, loss, cost, damage, or liability arising from client-supplied artwork, branding, logos, files, content, or instructions.

Formify Labs may refuse work that appears to infringe intellectual property rights, violate law, mislead consumers, impersonate another business, or create legal or reputational risk.

 

15. Ownership of Design Files and Production Files

Unless expressly itemized and paid for as a separate deliverable, Formify Labs retains ownership of all working files, source files, editable files, CAD files, STL files, 3MF files, G-code, print profiles, toolpaths, vector rebuilds, templates, render files, mockups, production methods, pricing methods, software workflows, internal systems, and fabrication processes.

The client receives the final physical product and any final digital deliverables specifically listed in the invoice after full payment.

Source files are not included by default.

If source files are requested, Formify Labs may charge a separate release fee and may refuse to release files containing proprietary workflows, templates, production methods, supplier information, or third-party licensed assets.

 

16. File Quality and Conversion

Client-supplied files must be production-ready unless file preparation is included in the quote.

Low-resolution images, screenshots, JPEG logos, Canva exports, photos of logos, non-vector files, corrupted files, incomplete artwork, unlicensed fonts, poor contrast files, and files with missing elements may require additional design or preparation fees.

If Formify Labs rebuilds, traces, cleans, vectorizes, converts, or recreates artwork, the result may not be identical to the original.

The client must approve converted or rebuilt artwork before production.

Final production quality depends heavily on file quality.

 

17. Colour Matching and Colour Variation

Formify Labs will make commercially reasonable efforts to achieve a close visual match to requested colours.

Exact colour matching is not guaranteed unless a specific paid physical sample, swatch approval, Pantone process, or written colour-match process is included in the project scope.

The client understands that colours may vary due to:

1. screen differences;
2. camera differences;
3. lighting conditions;
4. material type;
5. filament batch;
6. acrylic batch;
7. vinyl batch;
8. paint batch;
9. ink batch;
10. coating;
11. matte vs. gloss finish;
12. wall colour;
13. surrounding environment;
14. indoor vs. outdoor viewing;
15. UV exposure;
16. age and wear;
17. production method.

HEX, RGB, CMYK, Pantone, digital mockups, and screen previews are approximations unless otherwise agreed in writing.

 

18. Manufacturing Tolerances

The client acknowledges that Formify Labs products are custom-fabricated and may have reasonable manufacturing tolerances.

Unless a specific tolerance is expressly agreed in writing, dimensional variation may occur due to 3D printing, laser cutting, CNC cutting, sanding, painting, adhesive thickness, material expansion, material contraction, assembly, installation conditions, scale, and site conditions.

Normal custom-production characteristics are not defects unless they materially affect the intended function or appearance of the product from normal viewing distance.

 

19. 3D Printing Characteristics

The client understands that 3D printed products may show visible layer lines, seam lines, start/stop points, support marks, minor texture differences, slight warping, minor sanding marks, small surface imperfections, and variations between individual pieces.

These are inherent characteristics of additive manufacturing and are not considered defects where they are commercially reasonable and do not materially affect the product’s intended use or overall appearance from normal viewing distance.

Large letters, thick prints, multi-piece signs, painted prints, outdoor prints, and complex geometries may have additional variation.

 

20. Laser-Cut and CNC-Cut Materials

Laser-cut acrylic, plastic, wood, and similar materials may show minor edge coloration, polishing marks, smoke marks, micro-burrs, kerf variation, protective-film marks, slight chipping, or small dimensional variation.

CNC-cut, routed, or machined materials may show tool marks, edge variation, vibration marks, finishing marks, and minor dimensional variation.

These are normal characteristics of fabrication and are not defects unless excessive or outside commercially reasonable standards.

 

21. Materials and Material Selection

Formify Labs may use materials including PLA, PLA+, PETG, ASA, acrylic, PVC, ACM, vinyl, wood, metal, adhesives, paints, coatings, LEDs, power supplies, hardware, and other sign or fabrication materials.

Different materials have different durability, heat resistance, UV resistance, water resistance, impact resistance, flexibility, weight, finish quality, maintenance requirements, and lifespan.

Unless stated otherwise in writing:

1. indoor materials are not guaranteed for outdoor use;
2. budget materials may have shorter lifespans;
3. outdoor products may fade, weather, expand, contract, loosen, stain, oxidize, crack, warp, or degrade over time;
4. no exterior product is maintenance-free;
5. product lifespan depends on sun, heat, humidity, rain, snow, ice, salt, wind, pollution, vandalism, impact, cleaning, installation conditions, and maintenance.

Formify Labs may recommend a material, but the client is responsible for deciding whether to proceed based on budget, intended use, durability expectations, appearance, and site conditions.

 

 

22. Heat, Sunlight, and Thermal Limits

Thermoplastic materials, acrylic, vinyl, adhesives, paints, coatings, and other materials have material-specific limits.

Products exposed to high heat, direct sunlight, storefront windows, vehicles, dark walls, glass behind sunlight, heaters, high-output lighting, industrial equipment, poor ventilation, or extreme seasonal conditions may warp, soften, expand, contract, fade, loosen, deform, or fail over time.

The client is responsible for disclosing the intended environment before production.

If the client chooses a material against Formify Labs’ recommendation, fails to disclose high-heat or high-UV conditions, or places the product in an unsuitable environment, Formify Labs is not responsible for resulting warping, fading, melting, adhesive failure, deformation, reduced lifespan, or other damage.

 

23. Outdoor Use and Weather Exposure

Outdoor signs and exterior products are exposed to weather and environmental stress.

The client accepts that outdoor products may be affected by:

1. UV exposure;
2. heat;
3. cold;
4. freeze-thaw cycles;
5. rain;
6. snow;
7. ice;
8. wind;
9. salt;
10. humidity;
11. pollution;
12. building movement;
13. vandalism;
14. impact;
15. dirt and debris;
16. cleaning methods.

Outdoor products may require inspection, cleaning, tightening, resealing, repainting, replacement parts, LED replacement, adhesive reinforcement, or other maintenance over time.

Unless a written extended warranty is provided, Formify Labs does not guarantee any outdoor product to remain unchanged in appearance, colour, finish, brightness, alignment, or performance over time.

 

24. Client Choice Against Recommendation

If Formify Labs recommends a different material, mounting method, finish, size, thickness, installation method, permit path, electrical approach, structural support, surface preparation, or maintenance plan, and the client chooses a lower-cost, faster, different, or contrary option, the client accepts the risks of reduced durability, reduced lifespan, fading, warping, detachment, cracking, damage, permit issues, code issues, visual differences, or product failure.

Formify Labs is not responsible for issues arising from client-approved choices made against recommendation, except to the extent caused by Formify Labs’ proven workmanship defect or as otherwise required by law.

 

25. Adhesives, Tapes, Fasteners, and Mounting Methods

Formify Labs may use adhesives, VHB tape, silicone, epoxy, studs, screws, anchors, spacers, pins, brackets, standoffs, magnets, clips, rails, raceways, or other mounting systems.

No mounting method is suitable for every site.

Adhesive-only mounting depends on surface condition, surface energy, cleanliness, flatness, weight, temperature, humidity, curing time, pressure, long-term exposure, and maintenance.

Dusty, dirty, oily, textured, porous, weak, uncured, damp, cold, hot, painted, crumbling, uneven, or contaminated surfaces may cause mounting failure.

For heavier, exterior, overhead, illuminated, public-facing, high-traffic, or safety-sensitive signs, mechanical fastening may be required or strongly recommended.

If the client refuses recommended mechanical fastening, structural support, or safer mounting methods, Formify Labs may refuse the work or proceed only with written risk acceptance.

 

26. Client-Installed Products

Where products are supplied for client installation, the client is solely responsible for installation, surface preparation, substrate suitability, alignment, mounting, safety, and long-term attachment.

Formify Labs is not responsible for damage, injury, detachment, falling signs, adhesive failure, crooked installation, wall damage, paint damage, glass damage, product damage, or product failure caused by client installation, third-party installation, poor surface preparation, unsuitable substrates, incorrect tools, incorrect cleaning methods, incorrect placement, or failure to follow instructions.

Any installation instructions provided by Formify Labs are general guidance only and do not guarantee suitability for every surface or site.

The client should use appropriate tools, hardware, safety precautions, and professional installers where needed.

 

27. Formify-Installed Products

Where Formify Labs performs installation, installation is limited to the scope listed in the estimate or invoice.

The client must ensure the site is ready, accessible, legal, safe, and approved before the scheduled installation time.

The client is responsible for:

1. clearing the work area;
2. removing obstacles;
3. providing parking/loading access;
4. providing elevator or loading dock access;
5. providing power where required;
6. obtaining landlord or property approval;
7. confirming the correct install location;
8. identifying hidden pipes, wires, conduit, sprinklers, waterproofing, fragile materials, or hazardous materials;
9. ensuring surfaces are suitable;
10. ensuring paint, drywall, brick, glass, metal, tile, or other substrates are stable and cured;
11. ensuring someone with authority is present if needed.

If Formify Labs arrives and cannot complete work due to site readiness, access issues, missing approval, unsafe conditions, incorrect measurements, weather, blocked areas, client absence, parking issues, or other client/site issues, additional trip fees, waiting-time fees, rescheduling fees, labour fees, equipment fees, and storage fees may apply.

 

28. Installation Warranty

Where Formify Labs performs installation, Formify Labs provides a limited 90-day workmanship warranty on installation labour only, unless otherwise stated in writing.

This warranty does not guarantee the strength, condition, lifespan, or suitability of the wall, glass, paint, brick, drywall, fascia, substrate, building structure, electrical supply, landlord construction, or pre-existing site conditions.

The installation warranty does not cover failure caused by:

1. weather;
2. vandalism;
3. impact;
4. moisture;
5. surface failure;
6. paint failure;
7. building movement;
8. client interference;
9. third-party work;
10. cleaning;
11. removal;
12. relocation;
13. unauthorized modification;
14. site conditions not visible at installation;
15. client-approved mounting against recommendation.

 

29. Walls, Windows, Surfaces, and Site Conditions

Formify Labs is not responsible for pre-existing or hidden site conditions, including:

1. weak drywall;
2. crumbling plaster;
3. poor paint adhesion;
4. uncured paint;
5. textured walls;
6. uneven walls;
7. moisture;
8. dust;
9. grease;
10. silicone contamination;
11. old adhesive residue;
12. cracked glass;
13. low-energy plastics;
14. hidden electrical;
15. hidden plumbing;
16. sprinkler lines;
17. hollow walls;
18. poor framing;
19. deteriorated brick or masonry;
20. EIFS or stucco issues;
21. waterproofing membranes;
22. previous sign holes;
23. fragile finishes;
24. landlord-installed finishes.

Drilling, adhesive mounting, vinyl application, removal, repositioning, or future removal may damage walls, paint, glass, tile, trim, brick, panels, or finishes.

The client accepts this risk.

Formify Labs is not responsible for repainting, patching, refinishing, repairing, restoring, or replacing surfaces unless specifically included in writing.

 

30. Removal of Existing Signs, Vinyl, or Adhesive

Removal is excluded unless specifically included in writing.

If removal is included, the client accepts that removing signs, vinyl, adhesive, screws, anchors, silicone, epoxy, tape, paint, acrylic, wood, metal, electrical components, or other materials may damage walls, glass, paint, trim, panels, brick, concrete, electrical components, or other surfaces.

Formify Labs is not responsible for repairing damage caused by removal unless caused by proven negligence and not otherwise excluded by these Terms.

Disposal fees may apply.

 

31. Vinyl, Decals, Window Graphics, and Films

Vinyl and decal installation depends on surface condition, temperature, humidity, cleanliness, coating, tint, scratches, silicone, previous adhesive, and installation environment.

Small bubbles, seams, edge lift, dust contamination, tiny imperfections, or minor alignment variation may occur and are not necessarily defects.

Vinyl may shrink, fade, crack, peel, or lift over time depending on exposure, cleaning, sunlight, weather, surface condition, and maintenance.

Window graphics may interact with window tint, low-e glass, coatings, sunlight, heat, condensation, or cleaning methods. The client is responsible for confirming that films or graphics are suitable for the glass type and building rules.

 

32. LED, Illuminated, and Electrical Products

LED and illuminated products may include LEDs, light modules, strips, wiring, low-voltage components, acrylic faces, diffusers, power supplies, dimmers, remotes, controllers, adapters, and related components.

Unless Formify Labs expressly states otherwise in writing, electrical connection to building wiring, dedicated circuits, hardwiring, ESA notifications, electrical permits, inspections, junction boxes, wall wiring, switches, timers, transformers outside the product scope, and troubleshooting of building electrical systems are excluded.

Where licensed electrical work is required, the client must hire or approve a Licensed Electrical Contractor.

Formify Labs may coordinate with a licensed electrician if included in the scope, but Formify Labs does not represent that it is a licensed electrical contractor unless expressly stated with a valid licence number.

LED brightness, colour temperature, light spread, shadows, hotspots, dimming behaviour, remote performance, transformer noise, glow appearance, and visibility may vary based on size, depth, acrylic, wall colour, ambient lighting, viewing angle, and power conditions.

LEDs, power supplies, remotes, controllers, and electrical components are wear items and may require future maintenance or replacement.

 

33. Permits, Bylaws, Landlord Approval, and Legal Compliance

The client is responsible for obtaining all required permits, municipal approvals, sign permits, variances, landlord approvals, franchise approvals, mall approvals, condo approvals, property-owner authorizations, engineering approvals, ESA/electrical permits, inspections, zoning approvals, heritage approvals, and any other approvals unless Formify Labs specifically agrees in writing to handle them.

If Formify Labs assists with a permit or approval, the client remains responsible for:

1. government fees;
2. third-party fees;
3. engineering fees;
4. architectural fees;
5. designer fees;
6. landlord fees;
7. drawings and revisions outside scope;
8. delays;
9. refusals;
10. variance requirements;
11. code compliance;
12. bylaw compliance;
13. final approval from authorities.

Formify Labs does not guarantee that any permit, variance, landlord approval, inspection, or approval will be granted.

The client agrees not to ask Formify Labs to install work illegally or without required approvals.

If the client chooses to install, use, display, or keep a product without required approvals, the client assumes all risk, fines, orders, removal costs, legal consequences, and related damages.

 

34. Structural Safety

The client is responsible for ensuring the building, wall, surface, structure, storefront, ceiling, raceway, fascia, frame, window, or mounting area is capable of safely supporting the product.

Structural engineering is excluded unless expressly included in writing.

Engineering, stamped drawings, wind-load calculations, load-bearing review, lift plans, traffic plans, safety plans, or specialized mounting design may be required for certain signs and are excluded unless specifically included.

If Formify Labs determines that a structure, wall, surface, or site appears unsafe or unsuitable, Formify Labs may refuse, delay, modify, or cancel installation until the issue is corrected.

 

35. Measurements and Site Surveys

Measurements may be taken by the client, Formify Labs, a landlord, a contractor, an installer, a designer, or a third party.

If the client provides measurements, the client is responsible for their accuracy.

If Formify Labs takes measurements, those measurements are based on visible and accessible site conditions at the time of measurement.

Hidden conditions, later construction changes, landlord changes, wall repairs, trim changes, paint changes, electrical changes, or site modifications may affect final fit.

A site visit or measurement visit does not guarantee that all issues will be discovered before production.

 

36. Delivery, Pickup, Shipping, and Risk of Loss

Delivery, pickup, and shipping are only included if stated in writing.

Risk of loss or damage passes to the client when the product is picked up, delivered, installed, handed to a courier, left at an approved location, or otherwise transferred to the client or client’s representative.

Shipping times are estimates only.

Formify Labs is not responsible for courier delays, shipping damage, customs delays, weather delays, lost packages, stolen packages, or third-party carrier issues, but may assist with claims where reasonable.

The client must inspect products immediately upon receipt and notify Formify Labs of any visible damage, missing items, or issues within 48 hours.

 

37. Timelines, Deadlines, and Rush Orders

Production and installation timelines are estimates unless Formify Labs expressly guarantees a deadline in writing.

Timelines may be affected by:

1. client approval delays;
2. late payments;
3. artwork issues;
4. supplier delays;
5. material shortages;
6. machine queue capacity;
7. machine failure;
8. failed prints;
9. reprints;
10. weather;
11. installer availability;
12. permit delays;
13. landlord delays;
14. electrical delays;
15. site readiness;
16. courier delays;
17. illness;
18. emergencies;
19. force majeure events.

Rush orders may be accepted at Formify Labs’ discretion and may be subject to rush fees.

Rush acceptance does not waive the need for approvals, payment, production feasibility, safe installation, or required permits.

Formify Labs is not liable for lost revenue, missed openings, missed events, lost promotions, lost sales, lease issues, penalties, reputational harm, or other consequential losses caused by delay, except where prohibited by law.

 

38. Changes and Change Orders

Any change requested after approval, deposit, production scheduling, material ordering, or fabrication may result in additional charges.

Changes may include:

1. size changes;
2. colour changes;
3. material changes;
4. lighting changes;
5. quantity changes;
6. copy/text changes;
7. logo changes;
8. layout changes;
9. installation-location changes;
10. deadline changes;
11. mounting changes;
12. permit-related changes;
13. site-condition changes.

Formify Labs may require written approval and additional payment before proceeding with changes.

 

39. Cancellation by Client

Because most Formify Labs work is custom, cancellations are limited.

If the client cancels after approval or deposit, the client is responsible for all work performed, materials ordered, design time, project management, subcontractor costs, supplier fees, restocking fees, rush fees, administrative time, and lost production time incurred up to the cancellation date.

If production has started, custom materials have been ordered, signs have been fabricated, design files have been prepared, installers have been scheduled, or subcontractors have been booked, deposits and progress payments may be non-refundable to the maximum extent permitted by law.

If the product is complete or substantially complete, the full balance may remain due.

Nothing in this section limits cancellation rights that cannot legally be waived.

 

40. Cancellation, Refusal, or Suspension by Formify Labs

Formify Labs may cancel, refuse, pause, or terminate work if:

1. the client does not pay on time;
2. the client is abusive, threatening, dishonest, or unreasonable;
3. the client requests illegal, unsafe, infringing, hateful, misleading, or inappropriate work;
4. required approvals are missing;
5. site conditions are unsafe or unsuitable;
6. materials are unavailable;
7. the project becomes technically impractical;
8. the client repeatedly changes scope;
9. the client refuses necessary safety, permit, structural, or electrical requirements;
10. Formify Labs determines that continuing would create unacceptable legal, safety, reputational, financial, or operational risk.

If Formify Labs cancels without client fault, the client will receive a refund for amounts paid for work not performed, excluding completed work, approved design work, ordered custom materials, subcontractor costs, and non-recoverable expenses where permitted by law.

 

41. Storage and Abandoned Orders

Completed products must be picked up, delivered, or installed within 14 calendar days of completion notice unless otherwise agreed in writing.

After 14 calendar days, storage fees may apply.

After 60 calendar days of no pickup, no response, non-payment, or client-caused delay, the order may be considered abandoned to the maximum extent permitted by law.

Formify Labs may dispose of, recycle, resell, repurpose, or destroy abandoned products without refund, while the client remains responsible for unpaid balances, storage fees, and collection costs.

 

42. Installation Delays Caused by Client or Site

If installation is delayed by the client, landlord, municipality, weather, site access, construction, electrical work, permits, or other factors outside Formify Labs’ control, the client remains responsible for all completed fabrication, materials, design work, subcontractor costs, and storage fees.

A delay in installation does not cancel the client’s obligation to pay for completed or partially completed work.

 

43. General Warranty

Unless otherwise stated in writing, Formify Labs provides a limited 90-day workmanship warranty from the date of delivery or installation.

This warranty covers defects caused by Formify Labs’ workmanship under normal use and normal conditions.

At Formify Labs’ discretion, the remedy may be repair, replacement, touch-up, adjustment, reprint, refabrication, reinstall, partial credit, or refund of the affected portion of the work.

This warranty does not cover:

1. client-approved design errors;
2. spelling or content errors approved by the client;
3. normal wear and tear;
4. outdoor weathering;
5. fading;
6. UV damage;
7. impact damage;
8. vandalism;
9. theft;
10. misuse;
11. improper cleaning;
12. pressure washing;
13. chemical exposure;
14. heat damage;
15. water intrusion caused by site conditions;
16. electrical supply issues;
17. power surges;
18. wall failure;
19. surface failure;
20. paint failure;
21. adhesive failure caused by unsuitable surfaces;
22. third-party installation;
23. unauthorized modifications;
24. relocation;
25. removal or reinstallation by others;
26. failure to follow maintenance instructions;
27. storms, wind, ice, snow, fire, flood, extreme heat, extreme cold, or other acts outside Formify Labs’ control;
28. product choices made against Formify Labs’ recommendation.

Warranty is void if the product is altered, moved, repaired, rewired, repainted, modified, removed, reinstalled, or tampered with by anyone other than Formify Labs or a party authorized by Formify Labs in writing.

 

44. Manufacturer and Third-Party Warranties

Materials and components supplied by third parties, including LEDs, power supplies, vinyl, acrylic, filament, hardware, adhesives, paints, electronics, remotes, controllers, and fixtures, may be subject to manufacturer warranties.

Formify Labs does not extend manufacturer warranties beyond what the manufacturer provides.

Labour to remove, reinstall, diagnose, ship, or replace a manufacturer-warranty item is not included unless stated in writing.

 

45. Maintenance Requirements

The client must maintain products properly.

Unless otherwise instructed in writing, the client should:

1. clean signs gently with a soft cloth or microfiber cloth;
2. use mild soapy water where appropriate;
3. avoid abrasive pads, scrapers, blades, harsh solvents, acetone, ammonia, alcohol-heavy cleaners, and pressure washing;
4. avoid pulling, leaning on, hanging from, or adding weight to signs;
5. inspect outdoor signs periodically;
6. check fasteners, adhesives, wires, and mounting points;
7. keep signs away from excessive heat where inappropriate materials were used;
8. ensure electrical components remain dry and properly powered;
9. promptly report loose, damaged, flickering, cracked, or unsafe components;
10. remove snow, ice, dirt, and debris carefully where applicable;
11. schedule maintenance if signs are exterior, illuminated, high-mounted, public-facing, or exposed to weather.

Failure to maintain the product may void warranty coverage.

 

46. No Guarantee of Business Results

Formify Labs may provide branding, signage, marketing, design, website, or visual recommendations.

However, Formify Labs does not guarantee increased sales, leads, foot traffic, brand recognition, customer reviews, conversion rates, event attendance, wedding/event outcomes, social media engagement, search ranking, advertising performance, or business performance.

The client is responsible for its own business, marketing, legal, regulatory, and operational decisions.

 

47. Website, Digital, Branding, and Design Services

For website, digital, branding, logo, or design work, unless otherwise stated in writing:

1. timelines depend on client content, feedback, approvals, hosting, domains, platform access, integrations, and third-party services;
2. the client is responsible for providing accurate text, images, legal pages, product information, pricing, privacy policies, disclaimers, and business details;
3. Formify Labs is not responsible for downtime, platform changes, plugin failures, hosting outages, domain issues, search engine ranking changes, third-party app failures, payment processor issues, cybersecurity incidents, or platform limitations outside its control;
4. SEO, conversion rate, page speed score, ad performance, and search ranking are not guaranteed;
5. maintenance, hosting, updates, backups, security, and ongoing support are excluded unless included in a separate written plan;
6. third-party fees, subscriptions, domains, hosting, apps, plugins, software, stock assets, and integrations are the client’s responsibility unless expressly included.

 

48. Regulatory and Professional Content

If the client’s signage, website, print material, or advertising is subject to pharmacy, healthcare, financial, legal, franchise, municipal, landlord, accessibility, privacy, advertising, professional, or industry-specific rules, the client is responsible for reviewing and approving compliance.

Formify Labs does not provide legal, regulatory, professional, pharmacy, healthcare, accounting, engineering, architectural, or electrical advice.

The client is responsible for obtaining professional review where required.

 

49. Photography, Video, and Portfolio Rights

Unless the client objects in writing before production or installation, Formify Labs may photograph, film, display, post, share, and use images or videos of completed work for portfolio, website, social media, advertising, case studies, proposals, and promotional purposes.

Formify Labs will make reasonable efforts not to disclose confidential information, private addresses, sensitive documents, or personal information without consent.

The client grants Formify Labs permission to use the client’s business name, logo, and images of completed work for portfolio and marketing purposes unless restricted in writing.

 

50. Reviews, Complaints, and Public Statements

The client agrees to make reasonable efforts to contact Formify Labs about concerns before posting negative public reviews, complaints, or claims.

Nothing in these Terms prevents a client from making truthful statements, exercising legal rights, or filing lawful complaints.

The client agrees not to publish false, misleading, defamatory, threatening, or malicious statements about Formify Labs, its staff, contractors, subcontractors, suppliers, or work.

 

51. Safety

Formify Labs may refuse to perform work that appears unsafe.

The client must provide a safe work environment free from hazards, including aggressive persons, unsafe structures, exposed wiring, unstable ladders, dangerous weather, hazardous materials, unsanitary conditions, blocked access, active construction dangers, or other safety risks.

If unsafe conditions exist, Formify Labs may stop work and charge for time, travel, remobilization, equipment, and rescheduling.

 

52. Subcontractors and Third Parties

Formify Labs may use subcontractors, installers, designers, electricians, engineers, printers, fabricators, couriers, suppliers, or other third parties.

Formify Labs is responsible for coordinating subcontractors it directly hires, subject to these Terms.

The client is responsible for third parties hired directly by the client.

Formify Labs is not responsible for delays, defects, damage, or issues caused by client-hired contractors, landlords, electricians, painters, builders, cleaners, property managers, couriers, or other third parties.

 

53. Confidentiality

Formify Labs will take reasonable steps to protect confidential client information clearly identified as confidential.

Confidentiality does not apply to information that is public, independently developed, already known, required by law to be disclosed, visible in publicly installed work, or necessary to disclose for production, delivery, installation, collection, legal compliance, or subcontractor coordination.

 

54. Privacy

Formify Labs may collect client information such as name, business name, phone number, email, address, project details, payment status, artwork, photos, communications, site information, and billing details for quoting, project management, production, delivery, installation, billing, support, marketing, and legal compliance.

Formify Labs may use third-party tools for CRM, invoicing, payments, email, file storage, project management, design, hosting, analytics, and communications.

 

55. Limitation of Liability

To the maximum extent permitted by law, Formify Labs’ total liability for any claim related to a product or service is limited to the amount actually paid by the client for the specific product or service giving rise to the claim.

Formify Labs is not liable for indirect, incidental, special, consequential, punitive, or economic damages, including lost profits, lost sales, lost business, lost goodwill, lost opportunity, rent losses, opening delays, event losses, reputation harm, third-party penalties, or emotional distress, even if Formify Labs was advised that such damages were possible.

Nothing in these Terms limits liability that cannot legally be limited.

 

56. Indemnity

The client agrees to defend, indemnify, and hold harmless Formify Labs from claims, damages, losses, fines, penalties, costs, and expenses arising from:

1. client-supplied artwork, content, logos, trademarks, images, or instructions;
2. inaccurate measurements or information supplied by the client;
3. lack of permits, approvals, or legal authorization;
4. site conditions;
5. unsafe or unsuitable surfaces or structures;
6. client-requested installation methods against recommendation;
7. third-party contractors hired by the client;
8. misuse, alteration, relocation, or unauthorized repair of products;
9. breach of these Terms;
10. violation of law, lease, bylaw, franchise agreement, or third-party rights.

 

57. Force Majeure

Formify Labs is not responsible for delay or failure caused by events beyond its reasonable control, including weather, storms, fire, flood, illness, injury, labour shortage, supplier delay, material shortage, shipping delay, equipment failure, power outage, internet outage, strike, lockout, war, civil unrest, government action, permit delay, inspection delay, pandemic, emergency, or other events outside reasonable control.

 

58. Dispute Resolution

The client agrees to first notify Formify Labs in writing of any dispute and provide a reasonable opportunity to inspect, respond, repair, replace, or otherwise resolve the issue.

If the dispute cannot be resolved informally, the parties agree to attempt good-faith negotiation before starting legal proceedings, except for urgent matters, collections, injunctions, lien rights, chargebacks, or where legal deadlines require action.

Nothing in this section limits any non-waivable legal right.

 

59. Governing Law

These Terms are governed by the laws of Ontario and the applicable laws of Canada.

Unless prohibited by applicable law, disputes will be handled in courts or tribunals located in Ontario.

 

60. Severability

If any part of these Terms is found invalid, illegal, or unenforceable, the remaining sections continue to apply.

Invalid sections will be interpreted as narrowly as possible to make them enforceable, or removed only to the extent required.

 

61. No Waiver

If Formify Labs does not enforce a term immediately, that does not mean Formify Labs waives the right to enforce it later.

A waiver must be in writing to be effective.

 

62. Entire Agreement

These Terms, together with the applicable estimate, quote, invoice, proof, written approval, work order, purchase order, or contract, form the agreement between the client and Formify Labs.

The client may not rely on verbal statements, casual messages, assumptions, mockups, estimates, or prior discussions that are not included in the written scope or approved proof.

 

63. Updates to Terms

Formify Labs may update these Terms from time to time.

The version in effect at the time the client approves the estimate, pays the deposit, or authorizes work applies to that project unless otherwise required by law.
